Terms of Service

Welcome to the Qssly Headless Scheduling Engine. By using our website, service portals, API endpoints, SDKs, or developer sandboxes, you agree to comply with and be bound by these Terms of Service. These terms apply to all business subscribers ("Tenants") and anyone accessing the platform.

1. Subscriptions, Trials & Billing

Qssly is a subscription-based software service billed on monthly or annual cycles depending on the plan selected:

  • Pricing Tiers: Subscription tiers include Lite, Pro, and Enterprise levels. Features, slot allocations, and API request quotas scale per tier.
  • 14-Day Free Trial: We offer a 14-day trial period on select plans. If you do not cancel before the end of the trial period, your registered payment method will be charged for the initial billing cycle.
  • Cancellation: Subscription cancellations take effect at the end of the current billing cycle. No partial-month refunds are issued for early cancellations.

2. API Keys, Security & Rate Limits

For Tenants utilizing our headless APIs:

  • Credential Security: Tenants are solely responsible for protecting their API keys and webhook signing secrets. Revoke and rotate compromised credentials immediately via the business settings portal.
  • Rate Limiting: We enforce programmatic request limits on API routes. Circumventing, mocking, or attempting to bypass rate limits will result in account suspension.
  • Developer Sandboxes: Sandbox environments are temporary, isolated environments created solely for testing. They expire and are permanently purged 5 hours after creation.

3. Acceptable Use

You agree not to use the platform to schedule, track, or handle bookings relating to illegal activities, transmit malware, or execute load-testing attacks against the API without express permission.

4. Independent Relationship (Tenant of Record)

Qssly is a technology provider and is not a party to any booking agreement or payment transaction made between a Tenant and their End-Customers:

  • The Tenant is the merchant and service-provider of record for all bookings made using Qssly scheduling infrastructure.
  • All cancellations, refunds, schedule changes, service disputes, and gateway payment processing problems must be resolved directly between the End-Customer and the Tenant.

5. Service Availability & SLA

While we strive for high service availability, Qssly scheduling portals and headless APIs are provided on an "as-is" and "as-available" basis:

  • Standard Accounts: No uptime SLA guarantees apply to Lite or Pro accounts.
  • Enterprise SLA: Only Tenants subscribed to the Enterprise Tier receive service-level agreements (SLA) with credit allocations in the event of service outages.

6. Limitation of Liability

In no event shall Qssly (or Qssly Technologies Inc.) be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or bookings, arising out of or related to your use of or inability to use the platform.

7. Termination

We reserve the right to suspend or terminate Tenant accounts for non-payment, structural circumvention of usage constraints, or violations of this agreement. Upon termination, access to the API and customer booking data is revoked immediately.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising under this agreement shall be resolved exclusively within the state or federal courts located in Wilmington, Delaware.
